Introduction
These Terms of Service (hereinafter referred to as the "Terms") stipulate the terms and conditions for providing the service and the relationship of rights and obligations between lambdarware (hereinafter referred to as the "Service Provider") and registered users. (hereinafter referred to as the "Service Provider") and the relationship of rights and obligations between the Service Provider and registered users. When using this service, you need to read this agreement in its entirety and agree to it.
The Japanese version of these Terms of Service shall be the only authentic version. Translations into other languages are provided only for the convenience of users, and only the Japanese version shall be legally binding between users and the Service Provider.
1. Application
- The purpose of Terms is to set forth the terms and conditions of the provision of this service and the relationship of rights and obligations between Service Provider and registered users regarding the use of this service, and shall apply to all relationships between registered users and Service Provider regarding the use of this service.
- The rules regarding the use of the service posted by Service Provider on Service Provider's website shall constitute a part of these Terms.
- In the event that the contents of these Terms differ from the rules set forth in the preceding paragraph or other explanations of the Service outside of these Terms, the provisions of these Terms shall take precedence.
2. Definitions
The following terms used in this Terms shall have the meanings set forth below.
- "Service Use Agreement" means these Terms and the agreement for the use of the service concluded between Service Provider and registered users.
- "Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights and other intellectual property rights (including the right to acquire such rights or to apply for registration of such rights.)
- "Posted data" means contents (including but not limited to sentences, images, videos and other data) posted or transmitted by registered users using this service. (including but not limited to text, images, video, and other data) that a registered user posts or transmits using the service.
- "Service Provider Website" means the website operated by the Service Provider with the domain name "newslogia.com" (including the website after any change in the domain name or content of the Service Provider's website for any reason whatsoever.)
- "Registered users" means an individual or a corporation that has been registered as a user of the service in accordance with Article 3 (Registration).
- "Service" means the service provided by Service Provider under the name "newslogia" (if the name or content of the service is changed for any reason, the service after such change shall be included.)
3. Registration
- A person who wishes to use this service (hereinafter referred to as a "Registration Applicant") shall apply to the Service Provider for registration to use the service by agreeing to comply with these Terms and providing certain information (hereinafter referred to as the "Registration Information") specified by the Service Provider in a manner specified by the Service Provider.
- The Service Provider shall, in accordance with the Service Provider's standards, determine whether or not to register the applicant for registration who has applied for registration in accordance with Paragraph 1. If the Service Provider approves the registration, the Service Provider shall notify the Registration Applicant of the decision. The Registration Applicant as a registered user shall be deemed to have been completed when the Service Provider notifies the Registration Applicant in this section.
- Upon completion of the registration stipulated in the previous section, a service use contract will be established between the registered user and the Service Provider, and the registered user will be able to use the Service in accordance with these Terms.
- The Service Provider may refuse registration or re-registration if any of the following reasons apply to the applicant, and is under no obligation to disclose the reason for such refusal.
- When there is a falsehood, mistake, or omission in all or part of the registration information provided to the Service Provider
- If you are a minor, an adult ward, a person under curatorship, or a person under assistance, and you have not obtained the consent, etc. of a legal representative, guardian, curator, or assistant.
- Antisocial forces, etc. (meaning organized crime groups, organized crime group members, antisocial forces, and any other persons equivalent thereto. The same shall apply hereinafter.) Service Provider deems that the person is an antisocial force, etc. (meaning an organized crime syndicate, right wing group, antisocial force, or any other person equivalent thereto; the same shall apply hereinafter), or that the person has some kind of interaction or involvement with antisocial forces, etc. such as cooperating with or being involved in the maintenance, operation, or management of antisocial forces, etc. through the provision of funds or otherwise.
- When the Service Provider judges that the Registration Applicant is a person who has violated a contract with the Service Provider in the past or a person related to such a person.
- If you have been subject to any of the measures set forth in Article 9.
- In addition, when the Service Provider judges that the registration is not appropriate.
4. Change of Registration Information
When there is a change in the Registration Information, the registered user shall notify the Service Provider of such change without delay by the method specified by the Service Provider.
5. Management of e-mail addresses and user IDs
- Registered users shall, at their own responsibility, properly manage and store their email addresses and user IDs related to this service, and shall not allow a third party to use them, or lend, transfer, change the name of, or sell them.
- The registered user shall be responsible for any damage caused by inadequate management of the email address or user ID, errors in use, or use by a third party, and Service Provider shall bear no responsibility whatsoever.
6. Prohibited acts
In using this service, the registered user shall not engage in any of the following acts, or acts that the Service Provider deems to fall under any of the following items.
- Acts that violate laws and regulations or that are related to criminal acts
- Acts of fraud or intimidation against Service Providers, other users of the service, or other third parties
- Acts that are offensive to public order and morals
- Acts that infringe on the intellectual property rights, portrait rights, rights of privacy, honor, or other rights or interests of Service Providers, other users of the service, or other third parties
- Transmitting through this service to Service Provider or other users of this service any information that Service Provider deems to fall under or be applicable to the following
- Information that contains excessively violent or cruel expressions
- Information that contains computer viruses or other harmful computer programs
- Information that includes expressions that damage the reputation or credibility of Service Providers, other users of the service, or other third parties
- Information that contains excessively obscene expressions
- Information that contains expressions that promote discrimination
- Information that contains expressions that encourage suicide or self-injury
- Information that contains expressions that promote the inappropriate use of drugs
- Information containing antisocial expressions
- Information that seeks to spread information to third parties, such as chain mail
- Information that contains expressions that may cause discomfort to others
- Information for the purpose of meeting people of the opposite sex whom you have never met
- Acts that place an excessive load on the service's network or system
- Acts that may interfere with the operation of this service
- Acts of illegally accessing or attempting to illegally access the Service Provider's network or system, etc.
- Impersonating a third party
- Advertising, solicitation, or business activities on the service without prior permission from Service Provider
- Collecting information about other users of the service
- Acs that cause disadvantage, damage, or discomfort to Service Providers, other users of the service, or other third parties
- Acts that conflict with the rules regarding the use of the service posted on the Service Provider Website
- Provision of benefits to antisocial forces, etc.
- Acting for the purpose of meeting a person of the opposite sex whom you do not know
- Any act that directly or indirectly causes or facilitates any of the preceding items
- Other acts that the Service Provider deems inappropriate
7. Suspension of the service, etc.
- Service Provider may suspend or interrupt the provision of all or part of the service without prior notice to registered users in any of the following cases.
- In case of urgent inspection or maintenance of the computer system for the service
- In the event that a computer, communication line, etc. stops due to an accident
- When the operation of the service becomes impossible due to force majeure such as earthquake, lightning, fire, windstorm, power failure, or natural disaster
- In any other cases where the Service Provider deems it necessary to stop or suspend the service
- Service Provider shall not be liable for any damages caused to registered users based on measures taken by Service Provider in accordance with this Article.
8. Attribution of rights
- All intellectual property rights related to the Service Provider Website and the service belong to the Service Provider or the person who has granted a license to the Service Provider, and the permission to use the service under these Terms does not imply a license to use the intellectual property rights of the Service Provider or the person who has granted a license to the Service Provider related to the Service Provider Website or the Service. The license to use the Service under these Terms does not mean the license to use the Service Provider Website or the intellectual property rights of the Service Provider or the person who has granted the license to the Service Provider.
- Registered users shall represent and warrant to Service Providers that they have the legal right to post or transmit the posted data, and that the posted data does not infringe on the rights of any third party.
- Registered users grant the Service Provider a worldwide, non-exclusive, free of charge, sublicensable and transferable license to use, reproduce, distribute, create derivative works from, display and perform the posted data. You also grant to other registered users a non-exclusive license to use, reproduce, distribute, create derivative works of, display and perform the posted data posted or transmitted by registered users using this service.
- Registered users shall agree not to exercise their moral rights against the Service Provider and those who have succeeded or been granted rights by the Service Provider.
9. Cancellation of registration, etc.
- In the event that a registered user falls under any of the following items, Service Provider may, without prior notice or demand, delete the posted data, temporarily suspend the use of this service for said registered user, cancel the registration as a registered user, or cancel the service use contract.
- If you violate any of the provisions of these Terms
- When it is found that there is a false fact in the Registration Information
- If you have not used the service for more than 6 months
- When there is no response to the Service Provider inquiries or other communications requesting a response for 30 days or more
- In the event that any of the items in Article 3, Paragraph 4 applies
- In addition, when the Service Provider judges that the use of the service, registration as a registered user, or continuation of the service use contract is not appropriate
- Service Provider shall not be liable for any damages incurred by registered users due to acts performed by Service Provider in accordance with this Article.
10. Unsubscription
- A registered user may unsubscribe from this service and cancel his/her registration as a registered user by notifying the Service Provider in the method prescribed by the Service Provider.
- The handling of user information after unsubscription shall be in accordance with the provisions of Article 14.
11. Change or termination of the contents of this service
- Service Provider may change the contents of the service or terminate the provision of the service at Service Provider's convenience. When Service Provider terminates the provision of the service, Service Provider shall notify the registered users in advance.
- Service Provider shall not be liable for any damages caused to registered users based on measures taken by Service Provider in accordance with this Article.
12. Disclaimer of warranty and disclaimer of liability
- Service Provider does not warrant that the service will be suitable for the particular purpose of the registered users, that it will have the expected functions, commercial value, accuracy, or usefulness, that the use of the service by the registered users will conform to the laws and regulations applicable to the registered users or the internal rules of industry organizations, or that defects will not occur. The Service Provider does not guarantee any of these things.
- Service Provider shall not be liable for interruption, suspension, termination, unavailability, or change of the provision of this service by Service Provider, deletion or loss of messages or information sent by registered users to this Service, cancellation of registration of registered users, loss of registration data due to use of this service, or malfunction or damage of equipment, or The Service Provider shall not be liable to compensate for any other damages incurred by the registered user in relation to this service (hereinafter referred to as "user damages").
- Even if the Service Provider is liable for some reason, the Service Provider shall not be liable to compensate for user damages in excess of 10,000 yen, and shall not be liable to compensate for incidental damages, indirect damages, special damages, future damages, or damages for lost earnings. The Service Provider shall not be liable for incidental, indirect, special, future, or lost profits.
13. Confidentiality
The registered users shall treat non-public information disclosed by Service Provider to the registered users in relation to this service as confidential, except in cases where there is prior written consent from Service Provider.
14. Handling of User Information
- Service Provider's handling of registered user's user information shall be in accordance with Service Provider's Privacy Policy, and registered users shall agree to Service Provider's handling of registered user's user information in accordance with this Privacy Policy.
- Service Provider may use and disclose the information, data, etc. provided by registered users to Service Provider as statistical information in a form that does not identify individuals, at Service Provider's discretion, and registered users shall not object to this.
15. Changes to these Terms
Service Provider shall be able to change these Terms. If Service Provider changes the Terms, Service Provider shall notify the registered users of the changes, and if the registered users use the service after the notification of the changes, or if the registered users do not take the procedure for cancellation of registration within the period specified by Service Provider, the registered users shall be deemed to have agreed to the changes in the Terms. The registered users are considered to have agreed to the changes in this agreement.
16. Contact/Notification
Inquiries about the service and other communications or notifications from the registered users to the Service Provider, as well as notifications about changes to the Terms and other communications or notifications from the Service Provider to the registered users, shall be made in a manner determined by the Service Provider.
17. Transfer of status under service use contract, etc
- Registered users may not assign, transfer, mortgage, or otherwise dispose of their status under the service use contract or rights or obligations under these Terms to a third party without the prior written consent of Service Provider.
- In the event that Service Provider transfers the business related to this service to another company, Service Provider may transfer the status under the service use contract, rights and obligations under these Terms, and the Registration Information and other customer information of registered users to the transferee of said business, and registered users shall be deemed to have agreed to such transfer in advance. The registered user is assumed to have agreed to such transfer in advance in this section. In addition, the business transfer set forth in this section includes not only ordinary business transfer, but also any case in which business is transferred.
18. Separability
Even if any provision of these Terms, or any part thereof, is determined to be invalid or unenforceable under the Consumer Contract Act or any other law or regulation, the remaining provisions of these Terms and the remaining portions of any provision that is determined to be invalid or unenforceable shall continue in full force and effect.
19. Governing Law and Court of Jurisdiction
- These Terms and the service use contract shall be governed by the laws of Japan.
- The Japanese version of these Terms shall be the only authentic version. Translations into other languages are provided only for the convenience of the users, and only the Japanese version shall be legally binding between the users and the Service Provider.
- The Tokyo District Court shall be the exclusive court of first instance for any and all disputes arising out of or related to these Terms or the service use contract.
